Subscription Terms.

These terms govern the monthly subscription services Epiphany Dynamics LLC ("we", "us") provides to the customer ("you", "your") through our Stripe checkout, including our Operating Partnership tiers (Spark, Beacon, and Epiphany) and standalone care and maintenance plans for a website, app, or other software we build or manage for you. Subscribing constitutes acceptance. Sections 1 and 2 describe the Operating Partnership tiers; if you are on a care and maintenance plan, the "Care and maintenance plans" section below describes what your plan includes instead. Every other section applies to all subscriptions.

1. What we deliver

Each month you receive the services described in your tier on our published offer document: monitoring, response support, one included build at the scope and delivery window of your tier, plus any tier-specific extras such as strategy calls, quarterly bonuses, and operations support. Build scope is set on the 1st of each calendar month and shipped within your tier's delivery window. Unused monthly builds do not roll over.

2. What we don't deliver

Third-party software fees (Twilio, OpenAI usage, hosting, domain renewals, premium plug-ins), A2P SMS carrier registration fees, and projects exceeding your tier's monthly build size are outside the partnership. These are either billed in your own accounts or quoted separately as one-time work.

Care and maintenance plans

If you subscribe to a standalone care and maintenance plan instead of an Operating Partnership tier, this section replaces sections 1 and 2 for you. Your plan keeps the website, app, or other software we maintain for you online, secure, and up to date, and includes minor content and upkeep changes on request, such as text edits, updated hours, prices, or dates, and swapping images. It does not include new features, redesigns, or larger projects, which are quoted separately as one-time work. Your monthly fee is the amount shown at checkout. Everything else in these terms, including payment, cancellation, and ownership of your work, applies to your plan the same way.

3. Payment

Your tier fee is charged automatically by Stripe on the same date each month using the payment method you provide at signup. Receipts are sent automatically by Stripe. We do not issue manual invoices unless requested.

4. Term and cancellation

The partnership is month to month. You can switch tiers, pause for up to 60 days, or cancel at any time by contacting us. Cancellation takes effect at the end of your current paid billing period, and you remain entitled to that month's deliverables. We do not issue partial refunds for partially used months.

5. Ownership of work

All deliverables we build for you (code, automations, content, configurations, accounts created in your name) are yours. We retain the right to reuse general know-how, methods, and non-confidential techniques in our other work.

6. Confidentiality

Each side will protect the other's confidential information, including business data, customer lists, credentials, and strategy, with reasonable care and will not disclose it to third parties except as required to deliver the services or by law.

7. Credentials and accounts

All third-party accounts (Stripe, OpenAI, hosting, domain registrars, and similar) used to deliver your services are created and billed in your name. You retain full ownership and access. If we ever part ways, every account stays with you.

8. Liability cap

Our total liability to you for any claim arising from this partnership is limited to the fees you paid us in the three months immediately preceding the claim. Neither side is liable for indirect, incidental, or consequential damages.

9. Indemnity

Each side is responsible for claims arising from content, data, or instructions it provides to the other. You will not give us material that infringes someone else's copyright, trademark, or privacy rights, and we will not knowingly include such material in deliverables we create.

10. Acceptable use

You will not ask us to build systems that violate law, send spam in violation of CAN-SPAM or TCPA, or facilitate fraud. We reserve the right to decline or stop work on any request that crosses these lines.

11. Independent contractor

We are an independent contractor, not your employee, partner, or joint venturer. Nothing here creates an exclusivity obligation in either direction.

12. Governing law

These terms are governed by the laws of the State of Tennessee. Any dispute will be resolved in the courts located in Davidson County, Tennessee.

13. Changes

We may update these terms at any time. Material changes will be emailed to your billing email at least 14 days before they take effect, and you may cancel before they apply if you disagree.
